These Terms of Service ("Terms") govern your access to and use of the website, livestreams, video-on-demand (VOD), and related services (collectively, the "Service") provided by SESPRS, 1931 Cordova Road, #229, Ft. Lauderdale, FL 33316 ("SESPRS," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility; Account Registration
- Eligibility. You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. The Service is not intended for children under 13.
- Account. To access certain features you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated.
- Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us promptly of any unauthorized use.
- Organizations. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your License to Use the Service
Subject to these Terms, SESPRS grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal professional purposes. All rights not expressly granted are reserved by SESPRS and its licensors.
3. Payments; Fees; Refunds
- Fees. Prices and fees (collectively, "Fees") will be presented at checkout or in your registration materials. You authorize us and our payment processors to charge all Fees to your selected payment method.
- Payment Methods. We may accept credit/debit cards, ACH, wire transfer, or other methods as made available. ACH transfers can take multiple business days to clear; access tied to payment may begin upon confirmed receipt of funds.
- Refunds. Full refunds minus a $75 processing fee will be considered if written notice of cancellation is received by November 15, 2025. No refunds will be given after November 15, 2025.
4. Event Access; Livestream & VOD
- Credentials. Access may be restricted to registered users via unique credentials. Do not share your login; simultaneous logins may be blocked.
- Availability. While we aim to provide high-quality streams and recordings, availability may be affected by venue networks, third-party providers, and other factors beyond our control.
- Schedule & Content Changes. Speakers, topics, agendas, and schedules are subject to change without notice.
- Recording & Screenshots. Unless expressly permitted, you may not record, rebroadcast, download, or redistribute streams or VOD.
- Professional/Medical Content. Event content may include professional or medical topics for educational purposes only and is not a substitute for independent clinical judgment or professional advice.
5. User Content & Conduct
- Submissions. You may be able to submit messages, questions, or other content ("User Content"). You retain ownership of your User Content.
- License to SESPRS. You grant SESPRS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content for operating and improving the Service and for event operations (e.g., Q&A, moderation, replay).
- Responsibility. You are solely responsible for your User Content and represent that you have all rights necessary to grant the above license and that your content complies with these Terms and applicable law.
6. Prohibited Activities
You agree not to:
- Access, tamper with, or use non-public areas of the Service or our technical systems; attempt to probe, scan, or test vulnerabilities.
- Circumvent access controls, DRM, or security measures; share credentials or enable unauthorized access.
- Copy, record, rebroadcast, download (except as explicitly enabled), or distribute event content without permission.
- Upload or transmit malware, spam, or content that is unlawful, infringing, defamatory, harassing, hateful, or otherwise objectionable.
- Use the Service for illegal activity or to violate third-party rights, including privacy, publicity, or intellectual property rights.
- Interfere with or disrupt the Service, impose an unreasonable load, or use bots/scrapers without our prior written consent.
7. Intellectual Property
The Service, including all text, visuals, video, audio, logos, trademarks, and other content provided by SESPRS or its licensors ("SESPRS Content"), is protected by intellectual property and other laws. Except as permitted in these Terms, you may not use SESPRS Content without our prior written permission. All trademarks, service marks, and logos are the property of their respective owners.
8. Copyright Complaints (DMCA)
If you believe content on the Service infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (17 U.S.C. §512) to our designated agent:

Your notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (4) your contact information; (5) a statement that you have a good-faith belief that use of the material is not authorized; and (6) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
9. Third-Party Services
The Service may link to or rely on third-party websites, software, networks, or services (e.g., payment processors, content delivery, analytics). We are not responsible for third-party content, services, or terms, and your use of them is at your own risk.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share information. Where required, we will provide region-specific notices (e.g., CCPA/CPRA, GDPR, CalOPPA).
11. Disclaimers
- General. THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- Availability. We do not guarantee the Service will be uninterrupted, timely, secure, or error-free. Live events inherently involve variables outside our control.
- Professional/Medical Disclaimer. Content provided via the Service is for educational purposes only and does not constitute medical advice. Always consult appropriate professionals.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESPRS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SESPRS FOR ACCESS TO THE SPECIFIC EVENT OR SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
13. Indemnity
You agree to defend, indemnify, and hold harmless SESPRS and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
14. Suspension & Termination
We may suspend or terminate your access to the Service (including revoking credentials) at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent, illegal, or abusive activity. Upon termination, the licenses granted to you will end. Sections that by their nature should survive (e.g., payments due, IP, disclaimers, limitation of liability, indemnity, governing law) will survive termination.
15. Changes to the Service and to These Terms
We may modify or discontinue all or part of the Service at any time. We may also update these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
16. Governing Law; Venue
These Terms and your use of the Service are governed by the laws of the State of Florida, without regard to its conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida for any dispute arising out of or relating to these Terms or the Service, and you waive any objection to such jurisdiction and venue.
Before filing suit, the parties agree to first attempt to resolve disputes informally by sending a written notice of the dispute and allowing thirty (30) days for a response.
17. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and SESPRS regarding the Service and supersede any prior or contemporaneous understandings.
- Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, labor disputes, outages, or government actions.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or asset transfer.
- Waiver; Severability. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- Notices; Electronic Communications. You consent to receive communications electronically, and agree that notices, disclosures, and other communications we provide electronically satisfy legal requirements.
- Headings. Headings are for convenience only and do not affect interpretation.
